By using LLCora's services or website, you agree to these Terms. Please read them carefully.

1. About LLCora

LLCora is a US business filing service operated by LLCora Inc. We help non-residents form Limited Liability Companies (LLCs) in the United States, obtain Employer Identification Numbers (EINs) from the IRS, and prepare for banking applications.

We are not a law firm. We do not provide legal advice, tax advice, or accounting services. For specialized legal or tax questions, consult a qualified professional in the relevant jurisdiction.

2. Services we provide

Filing your LLC's Articles of Organization with the chosen US state
Acting as your Registered Agent (year 1 included)
Applying to the IRS for your EIN via Form SS-4
Preparing an Operating Agreement template
Submitting BOI (Beneficial Ownership Information) filings to FinCEN as required
Guides for Mercury, Wise, Stripe, PayPal applications
Reminders for Form 5472 and other recurring obligations

3. Your responsibilities

You agree to:

Provide truthful, accurate and complete information
Comply with all tax obligations in your country of residence
File any required ongoing reports yourself when due (we provide reminders but the legal duty is yours)
Not use our services for illegal purposes, money laundering, sanctions evasion, or fraud
Be at least 18 years old

If we discover false information after filing, we may suspend services and report to authorities where required.

4. Payment

All prices are in EUR (displayed) and converted to USD at checkout via Stripe / PayPal. Payment is required upfront. State filing fees and Registered Agent year 1 are included in the plan price.

From year 2 onwards, the Registered Agent renewal fee (~$99/year) and any state annual report fee are billed separately. We email you 60 days before renewal.

5. Delivery times

LLC formation: 24 hours for New Mexico/Wyoming; 1-3 business days for Delaware/Florida (state-dependent)
EIN: 2-4 weeks if you have an ITIN/SSN; 4-8 weeks otherwise (IRS processing time, outside our control)
Documents emailed: within 1 business day of state approval

Delays caused by the state or IRS are not refundable but do not consume your refund window — see our Refund Policy.

6. Refunds and money-back guarantee

Full refund policy is in our Refund Policy. Summary:

100% refund if we fail to file, or filing is rejected due to our error
Partial refund if filing has been submitted (we deduct the state filing fee paid on your behalf)
No refund after EIN is issued or after 30 days from order, whichever comes first

7. Intellectual property

The LLCora name, logo, website content, blog posts, and guides are owned by LLCora Inc. and protected by copyright and trademark law. You may not copy or republish without written permission.

You retain full ownership of your own LLC documents (Articles of Organization, EIN letter, Operating Agreement).

8. Limitation of liability

To the maximum extent permitted by law, our liability for any claim is limited to the amount you paid for the service in the 12 months preceding the claim. We are not liable for:

Indirect, incidental, consequential or punitive damages
Loss of profits, revenue, data, or business opportunities
IRS processing delays, state office backlogs, or third-party (bank) decisions
Tax consequences in your country of residence

9. Indemnification

You agree to indemnify and hold LLCora harmless from claims arising from your misuse of our services, false information you provided, or your tax non-compliance in any jurisdiction.

10. Termination

Either party may terminate the engagement before filing for a full refund. After filing, the engagement continues for the duration of the Registered Agent year. We may terminate for cause (false info, payment failure, illegal use) with written notice.

11. Governing law and jurisdiction

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of laws principles. Disputes will be resolved in Wyoming state or federal courts, except where applicable consumer protection law mandates otherwise.

12. Changes

We may update these Terms. Material changes will be emailed to active customers at least 30 days before taking effect. Continued use after changes constitutes acceptance.
